Welcome to LearnSlice!

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and LearnSlice UG (haftungsbeschränkt) ("Company", "LearnSlice UG", "LearnSlice" "we", "us", or "our"), concerning your access to and use of the https://www.learnslice.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). We are registered in Germany and have our registered office at Luisenstr. 66, Dusseldorf, Nordrhein-Westfalen, 40215.

Do not continue to use LearnSlice if you do not agree to take all the terms and conditions stated on this page.

You are responsible for maintaining the confidentiality of your account and any non-public authentication credentials associated with your use of the LearnSlice Services. You must promptly notify our customer support team about any possible misuse of your accounts, authentication credentials, or any security incident related to LearnSlice Services.

Furthermore, you represent and warrant that information you provide when registering for an account is accurate, and you shall not misrepresent personal information or otherwise be untruthful about your identity in connection with your use of the Services. LearnSlice reserves all rights to take legal action against anyone who misrepresents personal information or is otherwise untruthful about their identity in connection with their use of the Services. However, you acknowledge that LearnSlice cannot guarantee the accuracy of any information submitted by any user or the identity of any user who chooses to use the Services. We are not obliged to verify the identity of any user.

Administrator Control

If you use an email address provided by an Organization you are affiliated with (e.g. an employer, university, or school) to order the LearnSlice Service, you represent that you have the authority to use that Organization's domain to sign up for a Service Plan in your capacity as a member of that Organization. The Organization, as the owner of the domain associated with your email address, may assume control over and manage your use of the LearnSlice Services. In such a case, your Organization's designated Administrator may (i) control and administer your account, including modifying and terminating your access, and (ii) access and process your data, including the contents of your communications and files. LearnSlice may inform you that your associated Organization has assumed control of the LearnSlice Services covered by your Service Plan, but LearnSlice is under no obligation to provide such notice. If your Organization is administering your use of the LearnSlice Services or managing the tenant associated with your Service Plan, direct your data subject requests and privacy inquiries to your administrator. If your Organization is not administering your use of LearnSlice Service or managing such tenants, direct your data subject requests and privacy inquiries to LearnSlice by contacting us at info@learnslice.com.

Parents and Guardians Responsibility to Safeguard Children's Safety

LearnSlice provides certain Services and Resources which may be used by children. Children are not regarded as fully independent users of the Services and Resources. It is the parents'/guardians' responsibility, respectively, to ensure the use of the LearnSlice Services and Resources is in accordance with the Agreement and to safeguard the children's safety and privacy. Apart from the limitations within the functioning of the Services, LearnSlice has no control over how parents/guardians oversee the children's use of the Services as LearnSlice does not interact directly with the children using the Services and Resources.

Cookies

The website uses cookies to help personalize your online experience. By accessing LearnSlice, you agreed to use the required cookies.

A cookie is a text file that is placed on your hard disk by a web page server. Cookies cannot be used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to you and can only be read by a web server in the domain that issued the cookie to you.

Unless otherwise stated, LearnSlice UG (haftungsbeschränkt) and/or its licensors own the intellectual property rights for all material on LearnSlice. All intellectual property rights are reserved. You may access this from LearnSlice for your own personal use subjected to restrictions set in these terms and conditions.

You must not:

  • Copy or republish material from LearnSlice
  • Sell, rent, or sub-license material from LearnSlice
  • Reproduce, duplicate or copy material from LearnSlice
  • Redistribute content from LearnSlice

This Agreement shall begin on the date hereof.

Parts of this website offer users an opportunity to post and exchange opinions and information in certain areas of the website. LearnSlice UG (haftungsbeschränkt) does not filter, edit, publish or review comments, learning materials, texts, images, quizzes, and other games before their presence on the website. Comments, learning materials, texts, images, quizzes, and other games do not reflect the views and opinions of LearnSlice UG (haftungsbeschränkt), its agents, and/or affiliates. Comments, learning materials, texts, images, quizzes, and other games reflect the views and opinions of the person who posts their views and opinions. To the extent permitted by applicable laws, LearnSlice UG (haftungsbeschränkt) shall not be liable for the comments, learning materials, texts, images, quizzes, and other games or any liability, damages, or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the comments, learning materials, texts, images, quizzes, and other games on this website.

LearnSlice UG (haftungsbeschränkt) reserves the right to monitor all comments, learning materials, texts, images, quizzes, and other games and remove any comments, learning materials, texts, images, quizzes, and other games that can be considered inappropriate, offensive, or causes breach of these Terms and Conditions.

You warrant and represent that:

  • You are entitled to post the comments, learning materials, texts, images, quizzes, and other games on our website and have all necessary licences and consents to do so;
  • The comments, learning materials, texts, images, quizzes, and other games do not invade any intellectual property right, including without limitation copyright, patent, or trademark of any third party;
  • The comments, learning materials, texts, images, quizzes, and other games do not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material, which is an invasion of privacy.
  • The comments, learning materials, texts, images, quizzes, and other games will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.

You hereby grant LearnSlice UG (haftungsbeschränkt) a non-exclusive licence to use, reproduce, edit and authorize others to use, reproduce and edit any of your comments, learning materials, texts, images, quizzes, and other games in any and all forms, formats, or media.

Payments, Cancellations, Upgrades

General

Paid Service Plans and Content Subscriptions can be purchased directly from LearnSlice UG (haftungsbeschränkt) or through an Enterprise Agreement with LearnSlice.

You promise that your registration information and any other information that you submit to us are true, accurate, and complete, and you agree to keep it that way at all times. If you have provided incorrect or inaccurate information, you should return to the log-in screen or correct such information in your account settings. You promise that no other person shall be allowed to use or access your account, or in any other way make use of the rights conferred to you pursuant to the Agreement.

Payments and Subscription Periods

All licenses are payable in advance of each Subscription Period, non-cancelable, and non-refundable. You will be charged prior to being granted access to your licenses. At the end of your current Subscription Period, your licenses will not automatically renew. If you don't pay for your next licenses in advance, LearnSlice reserves the right to suspend your account or remove licenses´ features.

Cancellations

If you do not wish to renew your licenses, you must do nothing. Any cancellation will become effective on the first day after the last day of your current Subscription Period. Upon cancellation, your access to features that are exclusive to the licenses will cease, and you will lose access to the LearnSlice Services.

Taxes

Prices listed may not include sales or value-added tax and applicable tax may be calculated and added at the time you complete a transaction, depending on where you made the purchase, such tax may not be visible to you until you receive a receipt for your purchase. In certain jurisdictions, local laws require that prices include all applicable taxes, in which case this will be indicated at the time of purchase.

Hyperlinking to our Content

The following organizations may link to our Website without prior written approval:

  • Government agencies;
  • Search engines;
  • News organizations;
  • Online directory distributors may link to our Website in the same manner as they hyperlink to the Websites of other listed businesses; and
  • System-wide Accredited Businesses except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups which may not hyperlink to our Website.

These organizations may link to our home page, to publications, or to other Website information so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement, or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party's site.

We may consider and approve other link requests from the following types of organizations:

  • commonly-known consumer and/or business information sources;
  • dot.com community sites;
  • associations or other groups representing charities;
  • online directory distributors;
  • internet portals;
  • accounting, law, and consulting firms; and
  • educational institutions and trade associations.

We will approve link requests from these organizations if we decide that: (a) the link would not make us look unfavorably to ourselves or to our accredited businesses; (b) the organization does not have any negative records with us; (c) the benefit to us from the visibility of the hyperlink compensates the absence of LearnSlice UG (haftungsbeschränkt); and (d) the link is in the context of general resource information.

These organizations may link to our home page so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement, or approval of the linking party and its products or services; and (c) fits within the context of the linking party's site.

If you are one of the organizations listed in paragraph 2 above and are interested in linking to our website, you must inform us by sending an e-mail to LearnSlice UG (haftungsbeschränkt). Please include your name, your organization name, contact information as well as the URL of your site, a list of any URLs from which you intend to link to our Website, and a list of the URLs on our site to which you would like to link. Wait 2-3 weeks for a response.

Approved organizations may hyperlink to our Website as follows:

  • By use of our corporate name; or
  • By use of the uniform resource locator being linked to; or
  • Using any other description of our Website being linked to that makes sense within the context and format of content on the linking party's site.

No use of LearnSlice UG (haftungsbeschränkt)'s logo or other artwork will be allowed for linking absent a trademark license agreement.

Content Liability

We shall not be held responsible for any content that appears on your Website. You agree to protect and defend us against all claims that are raised on your Website. No link(s), learning materials, texts, images, quizzes, and other games should appear on any Website that may be interpreted as libelous, obscene, or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third-party rights.

You promise that with respect to any User Content you post on LearnSlice: (1) you have all rights necessary to upload such User Content to the LearnSlice Service and to grant the above license to LearnSlice, and (2) such User Content, or its use by LearnSlice does not violate the Agreement, applicable law, or the intellectual property (including without limitation copyright), publicity, personality, or other rights of others. You are solely responsible for all User Content that you publish on LearnSlice. LearnSlice does not endorse the correctness of the User Content or any opinion contained in any User Content.

Third Party Applications

LearnSlice Service is integrated with Third Party Applications that make available content, products, and/or services to you. Use of these Third Party Applications is optional. The Third Party Applications may have their own terms and conditions and privacy policies, which you agree to be bound by when you choose to use these Third Party Applications, including but not limited to Amazon Europe Core S.à r.l. and OpenAI, L.L.C.

Trials

We may, at our own sole discretion, offer you a Trial. We reserve the right to revoke the Trial and put your account on hold in the event that we determine that you are not eligible. Separate terms and conditions, including restrictions on available features or areas of use, may apply when using a LearnSlice Service under a Trial.

For some Trials, we'll require you to provide your payment details to start the Trial. In such cases, your Trial will automatically be converted to a paid subscription for the selected Service Plan and/or Content Subscription as of the first day after the end of your Trial period. We will use the payment details you provided when you started the Trial to charge you. If you do not want to continue using your selected Service Plan on a paid subscription basis, or a Content Subscription, you must cancel your subscription before the end of the Trial period.

Reservation of Rights

We reserve the right to request that you remove all links, learning materials, texts, images, quizzes, and other games or any particular link, learning material, text, image, quiz, and other game to our Website. You approve to immediately remove all links, learning materials, texts, images, quizzes, and other games to our Website upon request. We also reserve the right to amend these terms and conditions and its linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

Removal of Links, Learning Materials, Texts, Images, Quizzes, and Other Games from Our Website

If you find any link on our Website that is offensive for any reason, you are free to contact and inform us at any moment. We will consider requests to remove links, learning materials, texts, images, quizzes, and other games, but we are not obligated to or so or to respond to you directly.

We do not ensure that the information on this website is correct. We do not warrant its completeness or accuracy, nor do we promise to ensure that the website remains available or that the material on the website is kept up to date.

Account Security

As the creator of your LearnSlice account, you have access and control over the LearnSlice account and the devices that are used to access the Service. To maintain control over the account and to prevent anyone from accessing the account, you should maintain control over the devices that are used to access the Service and not reveal the password associated with your account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. You are also responsible for preventing unauthorized access and use of your account by any other than you. We can terminate your account or place your account on hold in order to protect you, LearnSlice, or our partners from conducting or attempting to conduct identity theft or other fraudulent activity.

Data Protection

The Data Processing Agreement located here shall govern with respect to the protection of personal data processed in connection with this Agreement.

Warranty and Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our website and the use of this website. Nothing in this disclaimer will:

  • limit or exclude our or your liability for death or personal injury;
  • limit or exclude our or your liability for fraud or fraudulent misrepresentation;
  • limit any of our or your liabilities in any way that is not permitted under applicable law; or
  • exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort, and for breach of statutory duty.

As long as the website and the information and services on the website are provided free of charge, we will not be liable for any loss or damage of any nature.

We can assure you that the Services will perform materially as set out on our Websites. For all licences, we will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, excluding planned downtime. We will notify you in advance of any planned downtime which is expected to result in significant downtime. In the event of any breach of LearnSlice's obligations in this section, LearnSlice shall at its own expense (i) use reasonable endeavours to rectify such non-compliance, and if rectification is no reasonable possible (ii) replace all the non-conforming parts of the functionality. LearnSlice disclaims any other warranties than those set out in the Agreement. Further, under no circumstances will LearnSlice be liable for any Third Party Applications, including the failure of any such Third Party Applications.

LearnSlice shall not be responsible for a breach of these warranties if caused by:

  • hardware, software, or other components which are not part of the LearnSlice functionality;
  • errors or problems caused by or contributed to by hardware, software, or other components which are not provided by LearnSlice, including any modifications by you or third parties;
  • errors or problems caused by you not complying with this Agreement;
  • if you have rejected the implementation of any upgrade, change, hot fix, or similar, which would have prevented the error or problem; and
  • errors or problems caused by third parties not acting on behalf of LearnSlice, including in respect of changes to LearnSlice functionality.

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless LearnSlice UG (haftungsbeschränkt), LearnSlice, affiliates, and their directors, officers, managers, employees, donors, agents, and licensors, from and against any claims and all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from: (1) Your breach of the Agreement; (2) any User Content; (3) any activity in that You or anyone using your account engages on or through the LearnSlice Service; and (4) Your violation of any law or the rights of a third party. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under these Terms. In such event, you shall provide us with such cooperation as is reasonably requested by us.

Changes to the Terms

We reserve the right to change these Terms from time to time. Changes may, for example, be made to accommodate new products or services, to adapt to legal requirements, or otherwise to better adapt the Terms to our business. If there is a material change to these Terms, we will notify you either by email to your registered email account or on our official Websites (as appropriate). It is your responsibility to read any such notice carefully. Your continued use of the Services after such changes will constitute acknowledgment and agreement of the modified Terms. If you do not wish to continue using the Service under the new version of the Terms, you may cancel your licence or terminate the Agreement. We reserve the right to change the Acceptable Use Policy at any time without notice.

Use for Promotional Purposes

(1) Consent

By using our platform, including for testing purposes, your organization agrees that we may use your logo on our marketing page.

(2) Revocation

You may revoke your consent at any time with effect for the future. To do so, please send an informal notification to info@learnslice.com.

(3) Deletion

Upon receipt of your revocation, we will promptly remove your logo from our marketing page.
